These Terms and Conditions ("Terms") govern all sales of goods and services by Unitest Instruments Pte Ltd(UEN: 201119141H) ("Unitest", "we", "us", "our") to you ("Customer", "you"). By placing an order with Unitest — whether online, by email, telephone, or in person — you agree to be bound by these Terms. These Terms are governed by the laws of the Republic of Singapore and incorporate applicable consumer protection legislation, including the Consumer Protection (Fair Trading) Act (Cap. 52A) and the Sale of Goods Act (Cap. 393).
1. Definitions
"Goods" means any test and measurement instruments, accessories, consumables, or other products supplied by Unitest.
"Services" means calibration, repair, maintenance, technical advisory, training, or equipment rental services provided by Unitest.
"Order" means a purchase order, quotation acceptance, or online checkout submitted by the Customer.
"Contract" means the agreement formed when Unitest accepts an Order, incorporating these Terms.
2. Orders and Acceptance
2.1 All Orders are subject to acceptance by Unitest. An Order is accepted when Unitest issues a written order confirmation or tax invoice, or commences fulfilment — whichever occurs first.
2.2 We reserve the right to decline any Order without stating a reason, including where Goods are out of stock, discontinued, or incorrectly priced.
2.3 Descriptions, specifications, and images on our website or catalogues are indicative only. Minor variations do not constitute a breach of contract.
3. Pricing and GST
3.1 All prices are quoted in Singapore Dollars (SGD) and are exclusive of GST unless expressly stated otherwise. GST will be charged at the prevailing rate at the time of invoicing.
3.2 Prices are subject to change without prior notice. The price applicable to your Order is the price confirmed in the accepted Order.
3.3 Unitest reserves the right to correct clerical or typographical pricing errors. In such cases, we will notify you and give you the option to proceed at the correct price or cancel your Order.
4. Payment
4.1 New customers must pay in full prior to or upon delivery of Goods.
4.2 Approved credit customers are subject to payment terms as stated on the invoice (standard: net 30 days from invoice date), subject to credit assessment and approval by Unitest.
4.3 Late payments will accrue interest at 1.5% per month (or the maximum rate permitted by law, whichever is lower) from the due date until full payment is received.
4.4 Unitest reserves the right to suspend or cancel orders and withhold delivery of Goods if any amounts are overdue.
4.5 All payments must be made in SGD. Bank charges for overseas transfers are borne by the Customer.
5. Delivery
5.1 Delivery dates provided are estimates only and are not guaranteed. Unitest shall not be liable for any loss, damage, or expense arising from delay in delivery.
5.2 Risk of loss and damage passes to the Customer upon delivery to the Customer's nominated address or upon collection by the Customer or its agent.
5.3 Title (ownership) of Goods passes to the Customer only upon receipt of full payment of all amounts owing.
5.4 The Customer must inspect Goods upon delivery and notify Unitest of any visible damage or shortage within 3 business days. Failure to do so constitutes acceptance of the Goods as delivered.
5.5 Delivery charges, if any, will be stated on the quotation or invoice.
6. Returns and Exchanges
6.1 Returns must be authorised by Unitest in writing before the Goods are returned. To request a Return Merchandise Authorisation (RMA), contact us within 7 calendar days of receipt of the Goods.
6.2 Goods must be returned in their original, unused condition, in original packaging with all accessories, manuals, and documentation included.
6.3 The following are non-returnable unless the Goods are defective:
- Special-order or custom-configured items
- Goods that have been used, installed, modified, or damaged by the Customer
- Goods from which serial number labels or warranty seals have been removed
- Software, calibration certificates, and consumables once opened
6.4 Approved returns may be subject to a restocking fee of up to 20% of the invoice value. Return freight costs are borne by the Customer unless the return is due to Unitest's error.
7. Warranty
7.1 Goods are covered by the manufacturer's standard warranty as applicable. Warranty periods and terms vary by brand and product; please refer to the documentation supplied with the Goods or contact us for details.
7.2 Warranty claims must be submitted to Unitest with proof of purchase. We will facilitate the claim with the manufacturer on your behalf.
7.3 Warranties do not cover:
- Damage caused by misuse, accident, neglect, or unauthorised modification or repair
- Normal wear and tear, consumable parts (e.g. batteries, probes, fuses)
- Damage caused by operating outside the product's specified environmental conditions
- Cosmetic damage that does not affect functionality
7.4 To the extent permitted by law, Unitest's liability under warranty is limited to repair, replacement, or refund of the defective Goods at Unitest's discretion.
8. Calibration Services
8.1 Calibration services are performed in accordance with ISO/IEC 17025 standards at our SAC-SINGLAS accredited laboratory (where applicable) or at the relevant manufacturer's accredited facility.
8.2 Calibration certificates issued are traceable to national or international measurement standards.
8.3 Unitest is not liable for any direct or consequential loss arising from reliance on calibration results, except where such loss results from our gross negligence or wilful misconduct.
8.4 Turnaround times for calibration are estimates only. Rush services may be available at additional cost.
9. Intellectual Property
All content on this website — including text, images, logos, product descriptions, and data — is the intellectual property of Unitest Instruments Pte Ltd or its licensors. You may not reproduce, distribute, or use any content without our prior written consent. Brand names (Fluke, Rotronic, Amprobe, Comark, PLS) are trademarks of their respective owners; Unitest is an authorised distributor only.
10. Limitation of Liability
10.1 To the maximum extent permitted by Singapore law, Unitest's total aggregate liability to the Customer (whether in contract, tort, including negligence, or otherwise) shall not exceed the total amount paid by the Customer for the Goods or Services giving rise to the claim.
10.2 Unitest shall not be liable for any:
- Loss of profits, revenue, business, or anticipated savings
- Loss of data or corruption of data
- Indirect, special, incidental, consequential, or punitive damages
10.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Singapore law, including the Consumer Protection (Fair Trading) Act.
11. Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, pandemic, government actions, port closures, or supply chain disruptions. The affected party shall notify the other promptly and use reasonable efforts to mitigate the impact.
12. Privacy and Personal Data
Your personal data is collected and used in accordance with our Privacy Policy, which is incorporated into and forms part of these Terms. Our Privacy Policy complies with the Personal Data Protection Act 2012 of Singapore.
13. Governing Law and Dispute Resolution
13.1 These Terms are governed by and construed in accordance with the laws of the Republic of Singapore.
13.2 Any dispute arising out of or in connection with these Terms shall first be referred to mediation at the Singapore Mediation Centre before commencing legal proceedings.
13.3 If mediation fails, the parties submit to the exclusive jurisdiction of the Courts of Singapore.
13.4 For consumer disputes, the Customer may also seek redress through the Consumers Association of Singapore (CASE) or the Small Claims Tribunals where applicable.
14. Amendments
Unitest reserves the right to amend these Terms at any time. The current version will be published on this page with an updated date. Continued use of our website or services after any changes constitutes your acceptance of the revised Terms.
